Corporate Governance

Overview

Corporate governance is the system of rules and processes by which a company is directed and controlled. In India, it covers board composition, committees, key managerial personnel, the approval of related-party transactions, disclosures and the conduct of meetings. It is governed by the Companies Act, 2013, the Secretarial Standards and, for listed entities, the SEBI (LODR) Regulations, 2015. Requirements scale with the company’s size and listing status.

What Governance Support Involves

Support involves reviewing the board composition, drafting committee charters and policies (the related-party transaction, nomination and remuneration, CSR, whistle-blower, code of conduct and prevention of insider trading policies), preparing the agenda and minutes in line with SS-1 and SS-2, performing board evaluations, conducting director familiarisation, and preparing governance reporting in the board’s report.

Who Needs This Service?

This support is aimed at companies crossing the thresholds above, companies preparing for investment or an IPO, family businesses professionalising their boards, and listed entities that need to comply with LODR.

Corporate Governance in Chennai / Tamil Nadu

Governance requirements are national. Compounding of governance defaults for companies in Tamil Nadu is dealt with by the Regional Director (Southern Region), Chennai, or the NCLT Chennai Bench, depending on the penalty.

Benefits

Good governance builds investor and lender confidence, reduces the risk of related-party and conflict issues, keeps approvals defensible, and prepares the company for due diligence. Professional support keeps policies and processes aligned with current law.
